(Travel Advisor Training by Marcie LLC)
The following constitute the terms and conditions (the "Terms and Conditions") to which you ("You", "Your", or "Client") agree to be bound when booking any in-person training, e-learning course, coaching program, or membership subscription, including The Spill™ (defined below), with Travel Advisor Training by Marcie LLC ("Marcie"). If you do not have such authority, or if you do not agree with these Terms and Conditions, you must not accept these Terms and Conditions and may not use any documents, materials, courses, or membership content, whether printed or available online, provided by Marcie (collectively, "Training Material"). Training Material expressly includes all content delivered through The Spill™.
By accepting these Terms and Conditions, whether by clicking a box indicating your acceptance, by subscribing to The Spill™, by executing a consulting agreement that references these Terms and Conditions (with a copy provided), or by using or accessing any Training Material provided by Marcie, you agree to be bound by these Terms and Conditions.
Purchase
In-person training courses and online training courses can be purchased via www.thetraveladvisormarcie.com or via conversation with Marcie to determine a coaching program. When you submit a purchase request, Marcie will confirm and approve your purchase request and invoice you through Stripe, together with information on starting your training if your request is accepted. You can also purchase a training course by paying your invoice in full or through the agreed-upon payment method and monthly payment plan.
The Spill™ membership is purchased separately as a recurring subscription through www.thetraveladvisormarcie.com or another checkout link provided by Marcie. Purchasing a training course or coaching program does not include The Spill™ unless Marcie states otherwise in writing, and subscribing to The Spill™ does not include any training course or coaching program.
Payment
Training fees for online courses can be paid when you book the courses via our website by credit card through a Stripe invoice. In all cases, payment must be received prior to the provision of any training courses and Training Material, and thereafter through the agreed payment plan.
The Spill™ subscription fees are charged automatically, in advance, to the payment method you provide at sign-up, as described in The Spill™ Membership section below.
If you do not provide accurate payment information, or if your credit card company does not authorize payment, your request or subscription will be deemed void. Marcie is not liable for any costs or expenses incurred as a result of a request or subscription deemed void in this manner.
The Spill™ Membership
The Spill™ is a recurring paid membership offered by Marcie (the "Subscription"). By subscribing, you agree to the following terms in addition to all other provisions of these Terms and Conditions. Pricing. The Subscription is available at either of the following rates, plus any applicable taxes:
Plan Price Billing Monthly
$11.00 USD Charged every month on your sign-up date
Annual
$84.00 USD Charged once per year on your sign-up date
Automatic Renewal. YOUR SUBSCRIPTION RENEWS AUTOMATICALLY. The monthly plan renews every month and the annual plan renews every year at the then-current rate until you cancel. By subscribing, you authorize Marcie, through Kajabi, Stripe or another payment processor, to charge your payment method on file at the start of each renewal period without further notice or approval from you.
Cancellation.
You may cancel at any time. To avoid being charged for the next renewal period, you must cancel BEFORE your monthly or annual renewal date. You may cancel through your account or billing portal, or by emailing
[email protected]. Cancellations received on or after the renewal date take effect at the end of the newly renewed period, and that renewal charge will not be refunded. It is your sole responsibility to track your renewal date and cancel on time.
No Refunds. ALL SUBSCRIPTION FEES ARE NON-REFUNDABLE. This includes, without limitation, partial months or years, unused time, periods in which you did not access The Spill™, renewals you forgot to cancel, and switching between plans. No prorated refunds or credits will be issued.
Access After Cancellation. When you cancel, you keep access to The Spill™ through the end of the period you already paid for. Access ends automatically at that time.
Failed Payments. If a renewal payment fails or is declined, Marcie may suspend or terminate your access to The Spill™ until payment is received.
Price Changes. Marcie may change Subscription pricing at any time. Price changes will not affect a period you have already paid for. Marcie will give you at least thirty (30) days' notice by email before a new price applies to your Subscription, and you may cancel before it takes effect.
Content Changes. Marcie may add, modify, or discontinue any content, format, schedule, or feature of The Spill™ at any time. The Subscription does not guarantee any specific volume, frequency, or type of content. If Marcie discontinues The Spill™ entirely, no further renewal charges will be made.
Same Rules Apply. All content delivered through The Spill™ is Training Material. The License, Ownership and Intellectual Property Rights, Artificial Intelligence (AI) Use and Data Protection, Confidentiality, and Removal for Cause sections of these Terms and Conditions apply in full to The Spill™.
Refund Policy
All coaching, course-related, and The Spill™ Subscription fees paid to Marcie are NON-REFUNDABLE.
Chargebacks and Payment Disputes
You agree that before initiating any chargeback, payment dispute, or reversal with your bank, credit card company, or payment processor, you will first contact Marcie at
[email protected] and allow at least ten (10) business days to resolve the issue. Initiating a chargeback or payment dispute for any charge you authorized, including any training fee, payment plan installment, or The Spill™ Subscription renewal that you did not cancel before the renewal date, constitutes a material breach of these Terms and Conditions.
Upon notice of any chargeback or payment dispute, Marcie may immediately suspend or terminate your access to all Training Material, courses, coaching, The Spill™, and community groups, without refund. Access may be restored, at Marcie’s sole discretion, only after the dispute is resolved and all amounts owed are paid in full.
If a chargeback or dispute is resolved in Marcie’s favor or withdrawn by you, you agree to pay all resulting chargeback fees, processing and administrative fees, collection costs, and reasonable attorneys’ fees incurred by Marcie. Any unpaid balance, including the remaining balance of any payment plan, may be referred to collections. You authorize Marcie to provide your payment provider with any information reasonably necessary to respond to a dispute, including your acceptance of these Terms and Conditions, purchase and renewal records, login and access history, and communications between you and Marcie.
Cancellation or Reschedule by Marcie
Marcie reserves the right to cancel or reschedule any in-person training courses. In the event of a cancellation by Marcie due to unforeseen circumstances, a prorated refund may be provided subject to the sole discretion of Marcie.
Client's Obligations
• You agree to pay training fees in full or via the agreed-upon monthly payment plan at the time of enrollment, and to pay The Spill™ Subscription fees on each renewal date until you cancel, in compliance with these Terms and Conditions.
• You acknowledge that the purchase of training courses and The Spill™ is for your personal use only. Your access, login credentials, and content may not be shared, transferred, or resold to any third party.
• You may use the training courses and The Spill™ solely for educational purposes. Any unauthorized use, reproduction, or distribution of Training Material is strictly prohibited and may result in legal action.
• You may be invited to provide feedback regarding your experience with the training courses or The Spill™. By submitting feedback, you grant Marcie permission to use and publish it for promotional purposes.
• For online training courses and The Spill™, you are responsible for having the necessary technical support, hardware, and software to access the content.
• You agree to be bound by Marcie's refund, renewal, and cancellation policies outlined in these Terms and Conditions.
License
Subject to these Terms and Conditions, Marcie grants you, and only you, a limited, non-exclusive, non-transferable, and revocable license to access the Training Material solely for educational purposes, as follows:
• Training courses. Provided you have paid all training fees in full, your access to purchased training courses is considered "Lifetime" access, meaning until the termination of Marcie's company due to unforeseen circumstances ("Termination").
• The Spill™. Your access to The Spill™ is NOT lifetime access. It lasts only while your Subscription is active and paid, and ends automatically when your Subscription is canceled, expires, or is terminated, or upon Termination.
You must cease to access and use any Training Material upon Termination, or for The Spill™ upon the end of your Subscription, and destroy all duplicates and copies from your system. This license is not transferable at any time.
Ownership and Intellectual Property Rights
All Training Material (including the content, design, graphics, audio, and text), data, audiovisual content, files, documents, written information, or other content and information provided by Marcie to you, including all content delivered through The Spill™, shall at all times belong to Marcie. All intellectual property rights, including copyrights, patents, patent disclosures and inventions (whether patentable or not), trademarks (including The Spill™ mark), service marks, trade secrets, know-how and other confidential information, trade dress, trade names, logos, corporate names and domain names, together with all of the goodwill associated therewith, derivative works and all other rights (collectively, "Intellectual Property Rights") in and to all Training Material, documents, work product, and other materials shall be owned by Marcie.
Provided that all applicable fees are paid, you are granted a non-exclusive, non-transferable, revocable license to access the Training Material as described in the License section. No Training Material may be copied, reproduced, uploaded, posted, displayed, or linked to in any way, in whole or in part, without Marcie's prior written consent. Any such use is strictly prohibited and will constitute an infringement of Marcie's Intellectual Property Rights.
Artificial Intelligence (AI) Use and Data Protection
You expressly agree that you may not use, upload, input, submit, or otherwise transfer any portion of the Training Material, including content from The Spill™, whether in whole or in part, into any artificial intelligence (AI) platform, machine learning model, or automated system, including but not limited to ChatGPT, Claude, Google Gemini, or any similar technology, for any purpose whatsoever without the prior written consent of Marcie.
This includes, but is not limited to:
• Copying or pasting Training Material into AI tools for summarization, rewriting, analysis, or content generation
• Using AI tools to replicate, mimic, or create derivative works based on Marcie's Training Material
• Uploading course content, The Spill™ content, documents, templates, frameworks, or proprietary processes into AI systems for personal or commercial use
You further agree that you will not use any Training Material to train, fine-tune, or otherwise contribute to the development of any artificial intelligence or machine learning model. Any unauthorized use of Training Material in connection with AI systems shall be considered a material breach of these Terms and Conditions and a violation of Marcie's Intellectual Property Rights, subject to legal action, including but not limited to injunctive relief, damages, and recovery of any profits derived from such use.
Breach and Remedy
You agree that the restrictions contained in these Terms and Conditions are necessary for the protection of Marcie's business and goodwill, and are considered by you and Marcie to be reasonable for such purposes. You agree that any breach or threatened breach of these Terms and Conditions is likely to cause Marcie substantial and irrevocable harm which is difficult to measure, and money damages might not be a sufficient remedy. Therefore, in the event of any such breach or threatened breach, in addition to monetary damages and other remedies available at law, Marcie shall be entitled to any profit made by you in breaching these Terms and Conditions and to seek specific performance, injunctive relief, and other equitable relief, including reasonable attorneys' fees, and you agree to waive any requirement for the securing or posting of any bond or the showing of actual monetary damages in connection with such claim.
Limitation of Liability
In no event shall Marcie or any of its members, managers, employees, agents, or representatives be liable to you or any third party for any loss of use, revenue, or profit or for any consequential, incidental, indirect, or punitive damages relating to the provision of training courses, The Spill™, or the Training Material, regardless of whether such damages are foreseeable or whether Marcie has been advised of the possibility of such damages. Further, in no event shall Marcie's aggregate liability arising out of or related to the training courses or The Spill™, whether arising out of or related to breach of contract, tort (including negligence), or otherwise, exceed the aggregate amounts paid or payable to Marcie by you.
Indemnification
You shall indemnify, defend, and hold harmless Marcie and its members, managers, employees, agents, or representatives ("Indemnified Party") against any and all losses, damages, liabilities, deficiencies, claims, actions, judgments, settlements, interest, penalties, fines, costs, or expenses of whatever kind, including reasonable attorneys' fees, that are incurred by the Indemnified Party (collectively, "Losses"), arising out of or related to any third-party claim alleging (1) breach of the consulting agreement or these Terms and Conditions by you, (2) any bodily injury, death of any person, or damage to real or tangible property caused by your negligent action or omission, or (3) failure by you to comply with any applicable law or regulation.
Confidentiality
Except as otherwise set forth in these Terms and Conditions, each party may disclose to the other party confidential information. "Confidential Information" is defined as all non-public, confidential, or proprietary information disclosed to each party ("Receiving Party") by the disclosing party ("Disclosing Party"), whether disclosed orally or accessed in written, electronic, or other form or media, and whether or not marked, designated, or otherwise identified as "confidential". Confidential Information also includes all code, inventions, know-how, technology, any commercial terms of these Terms and Conditions, and all non-public content shared within The Spill™, including discussions and information shared by other members.
Except as expressly authorized by the Disclosing Party or required by applicable federal, state, or local law, the Receiving Party will (1) use reasonable efforts to prevent the disclosure of any Confidential Information to any third party; (2) protect and safeguard the confidentiality of all such Confidential Information; (3) not use the Confidential Information for any purpose other than the training and membership contemplated by these Terms and Conditions; (4) promptly notify the Disclosing Party of any unauthorized disclosure of Confidential Information; and (5) fully cooperate with the Disclosing Party in any effort undertaken by the Disclosing Party to enforce its rights related to any such unauthorized disclosure.
Removal for Cause
Client understands and agrees that access to any course, program, live or recorded training, The Spill™ membership, community platform, or private group provided by Travel Advisor Training by Marcie LLC is granted as part of a limited, non-transferable license and is contingent upon adherence to these Terms and Conditions, including standards of conduct and confidentiality.
Marcie reserves the right, at her sole discretion and without notice or refund, to restrict or terminate Client's access to any portion of the program, membership, or community space, including exclusive Facebook groups, coaching calls, The Spill™, or digital forums, in the event that:
• Client engages in conduct that is disruptive, harassing, harmful, defamatory, or otherwise detrimental to the safety, well-being, or learning environment of the group or to the business;
• Client breaches the Confidentiality terms described herein;
• Client violates intellectual property, community guidelines, or ethical standards of the course or membership; or
• Marcie, in her sole judgment, deems Client's continued participation to be in conflict with the purpose, values, or integrity of the program or its participants.
This right of removal exists regardless of payment status, and no refund or credit will be issued if removal occurs under this clause. If Client is removed from The Spill™, the Subscription will be canceled and no further renewal charges will be made.
Participation in any exclusive group, membership, or community is not a guaranteed entitlement, but rather a conditional benefit subject to ongoing alignment with the business's values, policies, and standards.
